ARTICLE 1: PARTIES AND ACCEPTANCE

1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Gracyy ("we", "us", "our"), the developer and operator of the Gracyy mobile application and website at gracyy.com.

1.2 By downloading, installing, or using Gracyy, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1.3 If you do not agree to these Terms, you must immediately cease using Gracyy and delete the application from your device.

1.4 You must be at least 18 years of age, or the age of majority in your jurisdiction, to use Gracyy. By using Gracyy you represent and warrant that you meet this requirement.

ARTICLE 2: DESCRIPTION OF SERVICE

2.1 Gracyy is a personal financial management application that provides the following features:

  1. Manual expense entry and categorisation
  2. Receipt scanning and AI-powered data extraction
  3. Bank statement upload and automated transaction import
  4. Shopping list management with location-based store suggestions
  5. Budget setting and financial analytics
  6. Recurring expense tracking
  7. AI-powered financial insights via chat interface
  8. Financial health scoring

2.2 Gracyy is available on iOS (App Store) and will be available on Android (Google Play). Features may differ between platforms.

2.3 We reserve the right to modify, suspend, or discontinue any feature of Gracyy at any time with reasonable notice where required by law.

ARTICLE 3: ACCOUNT REGISTRATION AND SECURITY

3.1 To access Gracyy you must create an account using a valid email address and password, or via Apple Sign-In where available.

3.2 You are solely responsible for:

  1. Maintaining the confidentiality of your login credentials
  2. All activity that occurs under your account
  3. Ensuring your account information is accurate, current, and complete
  4. Notifying us immediately of any unauthorised access at hello@gracyy.com

3.3 We are not liable for any loss or damage arising from your failure to comply with Article 3.2.

3.4 You may not create multiple accounts, share your account with third parties, or transfer your account to another person without our prior written consent.

ARTICLE 4: ACCEPTABLE USE POLICY

4.1 You agree to use Gracyy only for lawful personal financial management purposes.

4.2 You expressly agree NOT to:

  1. Use Gracyy for any illegal, fraudulent, or unauthorised purpose
  2. Upload forged, falsified, or fraudulent financial documents
  3. Process financial data of third parties without their explicit consent
  4. Attempt to gain unauthorised access to Gracyy's systems, servers, or databases
  5. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Gracyy
  6. Use automated scripts, bots, or scraping tools to access Gracyy
  7. Circumvent, disable, or interfere with security features of Gracyy
  8. Use Gracyy in any manner that could damage, disable, overburden, or impair our servers
  9. Introduce malicious code, viruses, or harmful data into Gracyy
  10. Violate any applicable local, national, or international law or regulation

4.3 Violation of this Article 4 may result in immediate account termination without notice and may be reported to relevant law enforcement authorities.

ARTICLE 5: FINANCIAL INFORMATION AND AI DISCLAIMER

5.1 Gracyy is a personal expense tracking and management tool. It is NOT:

  1. A regulated financial institution or bank
  2. An investment advisor or financial advisor
  3. A credit institution or payment service provider
  4. A tax advisor or accounting service

5.2 Nothing in Gracyy, including AI-generated insights, store suggestions, financial health scores, or spending analyses, constitutes financial, investment, tax, or legal advice. You should always consult a qualified and regulated professional before making financial decisions.

5.3 AI ACCURACY DISCLAIMER: Gracyy uses artificial intelligence (powered by Anthropic's Claude API) to process receipts, bank statements, and generate insights. You acknowledge that:

  1. AI outputs may contain errors, omissions, or inaccuracies
  2. You are solely responsible for verifying the accuracy of all imported transactions
  3. We make no warranty regarding the accuracy, completeness, or fitness for purpose of AI-generated content
  4. AI-generated store suggestions and price estimates are approximations only and may not reflect actual market prices

5.4 BANK STATEMENT PROCESSING: When you upload a bank statement or receipt, you warrant that:

  1. The document belongs to you or you have lawful authority to process it
  2. You consent to the document being sent to Anthropic's API for processing
  3. You understand that extracted data will be stored in your Gracyy account

ARTICLE 6: INTELLECTUAL PROPERTY

6.1 Gracyy and all its content, features, functionality, design, code, trademarks, logos, and trade names are owned by us and are protected by applicable intellectual property laws.

6.2 We grant you a limited, non-exclusive, non-transferable, revocable licence to use Gracyy solely for your personal, non-commercial expense management purposes in accordance with these Terms.

6.3 You retain ownership of all financial data you input into Gracyy. By using Gracyy you grant us a limited licence to process your data solely to provide the service as described in our Privacy Policy.

6.4 You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of Gracyy without our prior written consent.

ARTICLE 7: PRIVACY AND DATA PROTECTION

7.1 We process your personal data in accordance with our Privacy Policy and applicable data protection laws including:

  1. The EU General Data Protection Regulation (GDPR) 2016/679
  2. The UK General Data Protection Regulation
  3. The Nigerian Data Protection Regulation (NDPR)
  4. The Ghana Data Protection Act 2012
  5. The Kenya Data Protection Act 2019
  6. Other applicable national data protection laws

7.2 Our Privacy Policy is available at gracyy.com/privacy and forms an integral part of these Terms.

ARTICLE 8: THIRD-PARTY SERVICES

8.1 Gracyy integrates with the following third-party services:

  1. Supabase: database and authentication (supabase.com/privacy)
  2. Anthropic Claude API: AI processing (anthropic.com/privacy)
  3. Apple App Store: iOS distribution
  4. Google Play Store: Android distribution

8.2 Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

8.3 We are not responsible for the availability, accuracy, or content of third-party services.

ARTICLE 9: FEES AND PAYMENT

9.1 Gracyy is currently available free of charge. We reserve the right to introduce paid features, subscription tiers, or in-app purchases in the future with reasonable advance notice.

9.2 Any future paid features will be clearly marked and will require your explicit consent before any charges are made.

9.3 All prices will be displayed in the applicable local currency and will include any applicable taxes.

ARTICLE 10: TERMINATION

10.1 You may terminate your account at any time by using the "Delete Account" function in Settings → Delete Account. This will permanently delete all your data immediately.

10.2 We may suspend or terminate your account immediately and without notice if:

  1. You breach any provision of these Terms
  2. We are required to do so by law or regulatory authority
  3. We reasonably suspect fraudulent or illegal activity on your account
  4. Your account has been inactive for more than 24 consecutive months

10.3 Upon termination for any reason:

  1. Your right to use Gracyy ceases immediately
  2. We will delete your personal data in accordance with our Privacy Policy
  3. Provisions that by their nature should survive termination will survive, including Articles 5, 6, 11, and 12

ARTICLE 11: LIMITATION OF LIABILITY

11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRACYY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

11.2 WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

  1. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  2. ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
  3. UNINTERRUPTED OR ERROR-FREE SERVICE
  4. SECURITY OR FREEDOM FROM VIRUSES

11.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  1. Any indirect, incidental, special, consequential, or punitive damages
  2. Loss of profits, revenue, data, or goodwill
  3. Financial losses arising from reliance on AI-generated insights or suggestions
  4. Unauthorised access to your financial data by third parties despite our security measures
  5. Service interruptions or data loss

11.4 OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  1. The total amount paid by you to Gracyy in the 12 months prior to the claim, OR
  2. EUR 50 (fifty euros)

11.5 CONSUMER RIGHTS: Nothing in these Terms shall exclude or limit liability that cannot be excluded under applicable consumer protection laws, including the EU Consumer Rights Directive 2011/83/EU and applicable national consumer protection legislation.

ARTICLE 12: INDEMNIFICATION

12.1 You agree to indemnify, defend, and hold harmless Gracyy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  1. Your use of Gracyy in violation of these Terms
  2. Your violation of any applicable law or regulation
  3. Your violation of any third-party rights
  4. Any fraudulent or false information you provide to Gracyy

ARTICLE 13: GOVERNING LAW AND DISPUTE RESOLUTION

13.1 These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

13.2 For users in the European Union, you also benefit from any mandatory provisions of the consumer protection laws of your country of residence that cannot be derogated from by agreement.

13.3 DISPUTE RESOLUTION: We encourage you to contact us first at hello@gracyy.com to resolve any dispute informally. We will respond within 30 days.

13.4 EU ONLINE DISPUTE RESOLUTION: If you are an EU consumer and we cannot resolve a dispute informally, you may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr

13.5 For disputes not resolved informally, the courts of Berlin, Germany shall have exclusive jurisdiction, subject to any mandatory provisions of applicable consumer protection law that grant jurisdiction to courts in your country of residence.

ARTICLE 14: DIGITAL SERVICES ACT (DSA) COMPLIANCE

14.1 In accordance with the EU Digital Services Act (Regulation 2022/2065), we confirm that Gracyy is a micro-enterprise as defined by EU law and is not subject to the obligations applicable to Very Large Online Platforms.

14.2 We are committed to transparency and will publish any required transparency reports as obligations arise.

ARTICLE 15: CHANGES TO TERMS

15.1 We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  1. Sending an email to your registered address
  2. Displaying a prominent notice within the app

15.2 Changes will take effect 30 days after notice for existing users, or immediately for new users.

15.3 Your continued use of Gracyy after the effective date of changes constitutes your acceptance of the revised Terms.

15.4 If you do not agree to revised Terms, you must stop using Gracyy and may delete your account before the changes take effect.

ARTICLE 16: GENERAL PROVISIONS

16.1 SEVERABILITY: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.2 WAIVER: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.3 ENTIRE AGREEMENT: These Terms and our Privacy Policy constitute the entire agreement between you and Gracyy regarding your use of the service.

16.4 ASSIGNMENT: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 FORCE MAJEURE: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control including acts of God, war, terrorism, pandemic, government action, or internet infrastructure failures.

These Terms were drafted in English. In case of any conflict between translated versions and the English version, the English version shall prevail.
